Pre This is an agreement (Access Agreement) between the McGraw-Hill Education (MHE) and you, as a non-employee who is to be given access to McGraw-Hill computer systems and/or data (the User). The User is to be given access to certain MHE computer systems and/or data (the MHE Data/Systems) pursuant to a separate agreement between MHE and either the User or the entity that retained the User to perform certain services for MHE (the Underlying Agreement) BY ACCESSING THE MHE DATA/SYSTEMS, AND CLICKING ON 'I Agree', THE USER AGREES TO COMPLY WITH THE TERMS AND CONDITIONS OF THIS ACCESS AGREEMENT. To the extent that this Access Agreement imposes obligations on the User that are greater than those contained in the Underlying Agreement, the terms of this Access Agreement shall prevail. It is the User's obligation to comply with any other obligations concerning the User's access to MHE Data/Systems that may be contained in the Underlying Agreement. The User should either review the Underlying Agreement or confirm the extent of any such obligations with the entity that retained you to perform services for MHE. The User acknowledges that he/she has a responsibility and legal obligation to protect the MHE Data/Systems from unauthorized activities including unauthorized access, sharing, disclosure, modification, deletion, and usage. The User shall keep strictly confidential all information, materials and data obtained by virtue of the User's access to the MHE Data/Systems (the Information) and shall use such Information solely for the purposes described in the Underlying Agreement. Information that is or becomes publicly known without breach of this Access Agreement or that is required to be disclosed by law or legal proceeding shall not be considered confidential. The User shall notify MHE before disclosing the Information as required by law or a legal proceeding. The User shall take all measures to keep the Information confidential as it takes to maintain the confidentiality of his or her own most proprietary and confidential material which shall, in any event, be consistent with high professional standards in the industry. All such Information shall remain the sole and exclusive property of MHE and its licensors and may be used by the User only in connection with User's work on behalf of MHE. Upon termination of access to the MHE Data/Systems, the User shall at MHE's discretion, either return all MHE Information to MHE or dispose of the MHE Information as directed by MHE. However, the User's obligations under this Agreement to maintain the confidentiality of the Information shall survive such termination. The User agrees to strictly comply with the policies and procedures described above. The User also understands that violations of these policies and procedures by the User may subject the User to penalties. The User agrees to promptly report all violations or suspected violations of information security policies and procedures to the McGraw-Hill Education Service Desk. The User understands that access to MHE Data/Systems is a privilege which may be changed or revoked at the sole discretion of MHE at any time and for any reason. Subject to applicable law, MHE reserves the right to monitor the User's use of MHE Data/Systems at any time without prior notice for purposes of ensuring appropriate use of MHE Data/Systems. This Access Agreement shall be governed by the laws of New York State without reference to any choice-of-law rules. Any dispute relating to this Access Agreement shall be heard exclusively in the state or federal courts sitting in New York State. This Access Agreement may not be assigned by the User.
